We review the ownership structure and the flows. A company that holds shareholdings is not followed in the same way as a services business invoicing every month.

Accounting for shareholdings

Acquisitions and disposals of shares, dividends, loans, interest and capital movements are documented. The information received from the subsidiaries is used to prepare the closing and identify any valuation points to review.

Tax & documentation

The company’s tax returns, analysis of how income is treated and identification of the relevant supporting documents. An exemption or deduction is never assumed simply because a company is called a “holding”.

What is the difference between a holding company and an SARL?
A holding company holds shareholdings. An SARL is a legal form. Your holding company can be set up as an SARL or an SA, for example: the choice depends on the partners, the assets and the organisation you want.
What is a SOPARFI?
SOPARFI refers to an ordinary financial holding company. The term is not a separate legal form and does not mean a general tax exemption. The taxation of dividends, disposals and financing must be reviewed according to the applicable conditions.
What information should I send you to set up my holding company?
Describe the people and companies involved, the countries, the shareholdings to be held and how they are financed. Even a simple organisation chart helps prepare our meeting. We will then specify the documents required.
Can you keep track of loans and dividends?
Yes, within the agreed engagement. These transactions must be documented: agreements, decisions and information received from the subsidiaries. We prepare their accounting treatment and review their tax treatment.
Do you also offer domiciliation?
We review the registered office and operating needs of the holding company with you. A proposal is made depending on the organisation, the acceptance conditions and availability.
